If your HOA is incorporated as a non-profit, it is subject to the Revised Iowa Nonprofit Corporation Act. According to Section 504.1003(1), amendments must be approved by other directors or members unless the governing documents state otherwise. Kindly consult your governing documents to see whether the president is granted the authority to amend the bylaws without a vote. Otherwise, the amendments may not be enforceable.
