Executive Session to Discuss Management Company

Question:

Our board of 5 people, pays a management company to oversee our units, conduct monthly meetings etc. We are not happy with them and would like to conduct a private meeting amongst only us to discuss. Is this something we can do without any legal ramifications?

Hi Jane,

According to the Davis-Stirling Common Interest Development Act Section 4935(a), the board may meet in executive session to consider matters relating to the formation of contracts with third parties. However, it may be best to consult a lawyer to clarify the “formation of contracts” section of the provision.
