HOA Board Appointing Members at Large in Oregon

Question:

Can a 3 person board in Oregon appoint two additional Members At Large ? Our bylaws do not reference any rules at all about HOW to expand the board specifically for adding two Members at Large ?

Hi Jo,

According to the Oregon Planned Community Act Section 94.635(5)(a), the bylaws should indicate the number of persons constituting the board and how the board of directors is elected. The current board should follow this. If the board must constitute only 3 persons, then you may not be able to add 2 additional members at large.

However, if there are only 3 board members and the bylaws state the board should have more, then Section 94.640(2) states that the board may fill vacancies in its membership for the unexpired portion of any term. For further guidance, kindly consult a lawyer.
