HOA Board President Resigns in Oregon

Question:

In Oregon, How should an HOA board of directors proceed when the President of the board resigns, the remaining members choose not to assume the presidency, and recruitment efforts for a new board member fail?

Answer:

Hi Charles,

If the role of the president is left vacant, the vice president assumes the position. You may also wish to fill the vacancy as per Section 94.640(2) of the Oregon Planned Community Law, which states: “Subject to subsection (7) of this section, unless otherwise provided in the bylaws, the board of directors may fill vacancies in its membership for the unexpired portion of any term.”

If you can function without a board president, you can simply choose not to fill the vacancy, provided your governing documents permit it and it wouldn’t cause any problems in the operation of the association.
