No Elections After the Expiry of a Board’s Term

Question:

A quorum was not reached at the annual meeting in April for Board elections, terms expiring in June. A subsequent meeting was never held to elect a board.

Do we currently have a board at that point?

Answer:

Hi Jean,

Kindly review your governing documents to understand the length of an elected board’s terms. Some documents may specify a length while others allow the board to hold office until successors are elected.
